Terms of Service: End User Agreement (EUA)

BY CLICKING/CHECKING “I AGREE,” ACCESSING THE KREDITIQ WEBSITE, OR USING KREDITIQ SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS AND OUR PRIVACY POLICY AND AGREE TO BE BOUND. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE KREDITIQ SERVICES.

KreditIQ, Inc. (“KreditIQ,” “we,” “our,” or “us”) appreciates your interest in our services. Your use of our website, kreditiq.ai (including any subdomains) (the “Site”) and our software-as-a-service platform, applications (web or mobile), documentation, and related materials (collectively, “Digital Property” or “Services”) is at all times subject to this End User Agreement (“Terms”) and our Privacy Policy. In addition, Client Users are also subject to the then-current Master Services Agreement / Master Terms between KreditIQ and the applicable Client. If these Terms conflict with the Master Terms, the Master Terms control for Client Users.

Our public Site provides cookie and tracking controls. However, use of the Services by Clients, Client Users, and Limited Users requires certain tracking and processing for security, audit, and business purposes. See our Privacy Policy for details and opt-out rights; opting out may prevent access to some or all Services.

All code, specifications, workflows, models, prompts, scoring logic, UI/UX, and other content in our Digital Property are subject to express or implied licenses and owned by KreditIQ or its licensors.

What We Are

KreditIQ provides an enterprise SaaS platform for financial institutions to manage credit decisioning workflows, including document ingestion, AI-assisted analysis, explainable scoring, and memo generation. We help institutions analyze data and augment decisions; we do not replace institutional policies, governance, or approvals.

What We Aren’t

  • Not a lender or financial institution. We do not originate, fund, or service loans, and we do not make binding credit decisions.
  • Not a law firm or legal service. We do not provide legal advice or engage in the practice of law.
  • Not an accountant, auditor, title agent, appraiser, engineer, contractor, or other licensed professional. We do not render professional certifications or warranties regarding projects, collateral, or compliance.
  • Not a consumer reporting agency. KreditIQ is not a “consumer reporting agency” under the Fair Credit Reporting Act (FCRA) and does not furnish “consumer reports.” Our outputs are tools for institutional use by Clients in accordance with their own regulatory obligations.
  • Not a substitute for your engagement. Successful outcomes require accurate inputs, appropriate configuration, and human review. Your involvement remains essential.

Definitions

“Authorized Representative” means the person designated by a Client with authority to administer the Services and accept binding terms.

“Client” means the organization with an active subscription or order form with KreditIQ.

“Client User” means an individual authorized by a Client to access the Services under the Client’s account (with unique credentials).

“Limited User” means an external participant invited by a Client or Client User (e.g., borrower, broker, consultant, contractor, title provider, appraiser) with limited access rights. Limited Users must accept this EUA.

“Personal Information (PII)” means information that identifies or relates to an identified/identifiable natural person (as defined by applicable law, including GLBA where applicable).

License Grants & Restrictions

Subject to these Terms and any applicable order, KreditIQ grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Digital Property through supported browsers and devices solely for your (or your employer’s) internal business purposes.

You shall not:

  • allow access to unauthorized third parties;
  • sublicense, lease, sell, resell, rent, or otherwise commercially exploit the Services;
  • modify, copy (other than configuration exports), create derivative works of, or reverse engineer the Digital Property;
  • access the Services to build a competing product or copy features, functions, UI, or graphics;
  • remove proprietary notices or circumvent security or usage limits.

KreditIQ and its licensors retain all right, title, and interest in and to the Digital Property, models, analytics, documentation, and all related IP.

Security; Accounts; Access

You agree not to use the Services in any manner that could damage, disable, or impair the Digital Property or interfere with others’ use. You will not attempt unauthorized access to the Services, systems, or networks, nor use robots, spiders, scrapers, or other automated means except as expressly permitted by KreditIQ.

Certain features require registration and a password. You must provide accurate information, keep credentials confidential, and are responsible for all activities under your account. Notify security@kreditiq.ai immediately of any unauthorized use or suspected incident.

Acceptable Use (No Unlawful or Prohibited Use)

You may not use the Services to: (a) transmit false, misleading, defamatory, harassing, or hateful content; (b) upload or share others’ confidential or Personal Information without authorization; (c) infringe IP or other rights; (d) violate laws or regulations (including sanctions/export controls); (e) distribute malware or harmful code; (f) attempt to bypass security, usage limits, or audit logs; (g) attempt model extraction, prompt injection, or retrieval of underlying system weights or prompts beyond documented features.

Data; Privacy; Regulatory Use

Use of the Services involves processing of PII and business data as described in our Privacy Policy. Clients are responsible for lawful collection and disclosure of data supplied to the Services and for configuring outputs (e.g., reason codes, thresholds) consistent with their policies, fair-lending, model-risk, and governance obligations. Human review and oversight are required for all material decisions.

Where applicable, KreditIQ provides audit logs, versioning, and explainability tooling to support Client governance; however, Clients remain the “controller” of their own datasets and decisions. KreditIQ is a “service provider/processor” as defined by applicable privacy laws.

Feedback; Beta Features

If you provide ideas, suggestions, or feedback, you grant KreditIQ a royalty-free, perpetual, irrevocable license to use and incorporate them. Access to alpha/beta or trial features is AS IS, may change or end at any time, and may be subject to additional terms.

Third-Party Services; Links

The Services may interoperate with third-party platforms (e.g., LOS/CRM/e-sign). Your use of third-party services is governed by their terms and privacy policies. KreditIQ is not responsible for third-party content or services.

Indemnity

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless KreditIQ and its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your breach of these Terms; (ii) your misuse of the Services; or (iii) data or content you submit.

Termination; Suspension

KreditIQ may suspend or terminate access immediately for security risk, suspected misuse, legal requirement, or non-payment (for Client Users). Either Client or KreditIQ may terminate per the Master Terms. Upon termination, you must cease all use and we may disable accounts. Sections intended to survive (e.g., IP ownership, indemnity, disclaimers, limits of liability, arbitration) will survive.

Disclaimers

THE SERVICES AND ALL INFORMATION, OUTPUTS, SCORES, ANALYTICS, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
KREDITIQ DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
KREDITIQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR BE FREE OF BIAS OR INACCURACY. YOU ARE RESPONSIBLE FOR HUMAN REVIEW AND FOR DECISIONS MADE USING THE SERVICES.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KREDITIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, REVENUE, GOODWILL, OR DATA) ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
KREDITIQ’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS PAID BY THE APPLICABLE CLIENT FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT FIRST GIVING RISE TO LIABILITY (OR $100 FOR LIMITED USERS).

Some jurisdictions do not allow certain disclaimers/limitations; in those cases, the scope will apply to the fullest extent permitted.

Copyright; IP; DMCA

Do not infringe KreditIQ or third-party IP. Do not remove or obscure proprietary notices. If you believe content on the Site infringes your copyright, send a DMCA notice including: (a) description of the work; (b) location/URL of the material; (c) your contact info; (d) a good-faith statement of unauthorized use; (e) your electronic/physical signature; and (f) a statement under penalty of perjury that your notice is accurate and you are the owner/agent.

Export; Sanctions; Government Rights

You represent that you are not located in, organized under the laws of, or ordinarily resident in any embargoed country and are not on any restricted party list. You will not export or re-export the Services except as authorized by U.S. law. The Services are “commercial computer software” and related documentation with restricted rights for U.S. Government users under FAR/DFARS.

Changes to Terms; Electronic Communications

We may update these Terms from time to time. The “Last Modified” date will reflect changes, and material changes may be communicated via the Services or email. Your continued use after changes constitutes acceptance. You consent to receive electronic communications from us regarding your account and the Services.

Governing Law; Dispute Resolution; Arbitration

These Terms are governed by the laws of the State of [Delaware], without regard to conflicts principles.

Arbitration. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be finally settled by binding arbitration administered by JAMS pursuant to its Streamlined Rules. The seat/location will be [Wilmington, DE, the language is English, and the arbitrator will be a lawyer with at least 5 years of experience in complex technology/SaaS disputes. Judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction for actual or threatened misappropriation or infringement of IP or breach of confidentiality.

Time Limit. Any claim must be filed within one (1) year after it accrues or be permanently barred.

Class Action Waiver. Disputes must be brought on an individual basis; no class or representative actions are permitted.

Miscellaneous

  • Entire Agreement. These Terms (and, for Client Users, the Master Terms) are the entire agreement and supersede prior agreements regarding the subject matter.
  • Severability; Waiver. If any provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing and signed.
  • Assignment. You may not assign or transfer these Terms without KreditIQ’s prior written consent.
  • Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control (e.g., Internet or utility failures, cyberattacks, natural disasters, labor disputes, acts of government).
  • Headings. Headings are for convenience only.
